s 14Indemnity of members of Board and employees of Company

The Company shall indemnify every member of the Board, the Chief

Executive Officer, officers and other employees against any liability and expenses incurred by them or by any of them in defending any proceedings, whether civil or criminal, if such proceedings are brought against them in connection with the proper discharge of their respective duties and functions in the capacity as a member of the Board, Chief Executive Officer, or such officer or employee.
