Part VII · Supplement Ary

Section 56

In plain English

Rights, duties and liabilities implied by law in a contract for the sale of goods can be excluded or changed. This can happen by express agreement, by the parties' past dealings, or by a practice that binds both parties. An express term only cancels an implied term if they conflict.

Summary · Drafted with AI, checked against the official text on 30 Sep 2026.

(1)

Where a right, duty or liability would arise under a contract of sale of goods by implication of law, it may (subject to any other law to the contrary) be negatived or varied by express agreement, or by the course of dealing between the parties, or by such usage as binds both parties to the contract.

(2)

An express condition or warranty does not negative a condition or warranty implied by this Act unless inconsistent with it.
